(承認したものとみなされる場合)
第二十六条法第百四十五条第三号に規定する法務省令で定める場合は、次に掲げる場合とする。

Cases Where Approval Is Imputed
Article 26 The cases prescribed by Order of the Ministry of Justice as established in Article 145, item (iii) of the Act are as follows: 一株式会社が法第百三十九条第二項の規定による通知の日から四十日（これを下回る期間を定款で定めた場合にあっては、その期間）以内に法第百四十一条第一項の規定による通知をした場合において、当該期間内に譲渡等承認請求者に対して同条第二項の書面を交付しなかったとき（指定買取人が法第百三十九条第二項の規定による通知の日から十日（これを下回る期間を定款で定めた場合にあっては、その期間）以内に法第百四十二条第一項の規定による通知をした場合を除く。）。 (i) in a case where notice is given pursuant to the provisions of Article 141, paragraph (1) of the Act within 40 days from the date of notification pursuant to the provisions of Article 139, paragraph (2) of the Act (in a case where a shorter period that falls below this is prescribed in the articles of incorporation, that period of time), if the document of paragraph (2) of the same Article is not delivered to the Requester for Approval of Transfer within the period of time (excluding a case where a Designated Purchaser gives notice pursuant to the provisions of Article 142, paragraph (1) of the Act within ten days from the date of notice pursuant to the provisions of Article 139, paragraph (2) of the Act (in a case where a shorter period that falls below this prescribed by the articles of incorporation, that period of time)); 二指定買取人が法第百三十九条第二項の規定による通知の日から十日（これを下回る期間を定款で定めた場合にあっては、その期間）以内に法第百四十二条第一項の規定による通知をした場合において、当該期間内に譲渡等承認請求者に対して同条第二項の書面を交付しなかったとき。 (ii) in a case where a Designated Purchaser gives notice pursuant to the provisions of Article 142, paragraph (1) of the Act within ten days from the date of notice pursuant to the provisions of Article 139, paragraph (2) of the Act (in a case where a shorter period that falls below this is prescribed in the articles of incorporation, that period of time), if the document of paragraph (2) of the same Article is not delivered to the Requester for Approval of Transfer within the period of time; 三譲渡等承認請求者が当該株式会社又は指定買取人との間の対象株式に係る売買契約を解除した場合 (iii) if the Requester for Approval of Transfer cancels the contract for the sale and purchase of Subject Shares between the Requester and the stock company or the Designated Purchaser.
