(市場価格を超えない額の対価による自己の株式の取得)
第三十条   法第百六十一条に規定する法務省令で定める方法は、次に掲げる額のうちいずれか高い額をもって同条に規定する株式の価格とする方法とする。

Acquisition of Own Shares for Consideration of a Value Not Exceeding Market Price
Article 30   The method prescribed by Order of the Ministry of Justice as established in Article 161 of the Act is that of making whichever is larger between the following amounts the price of the shares prescribed in the same Article: 一   法第百五十六条第一項の決議の日の前日における当該株式を取引する市場における最終の価格（当該日に売買取引がない場合又は当該日が当該市場の休業日に当たる場合にあっては、その後最初になされた売買取引の成立価格） (i)   the closing price in the market on which the shares are traded on the day prior to the date of resolution of Article 156, paragraph (1) of the Act (if there is no sales transaction on that date, or if that date falls on a holiday for the relevant market, the execution price of the first sales transaction after that point); 二   法第百五十六条第一項の決議の日の前日において当該株式が公開買付け等の対象であるときは、当該日における当該公開買付け等に係る契約における当該株式の価格 (ii)   if the shares are the target of a Tender Offer, etc. on the day prior to the date of resolution of Article 156, paragraph (1) of the Act, the price of the shares in the contract in relation to the Tender Offer, etc. on that date.
