第四十二条   法第二百三条第四項に規定する法務省令で定める場合は、次に掲げる場合であって、株式会社が同条第一項の申込みをしようとする者に対して同項各号に掲げる事項を提供している場合とする。

Cases Where Persons Who Wish to Make an Offer Need Not Be Notified
Article 42   The cases prescribed by Order of the Ministry of Justice as established in Article 203, paragraph (4) of the Act are as follows:, in which the stock company provides the particulars listed in each item of the same paragraph to persons who wish to make the offer under paragraph (1) of the same Article: 一   当該株式会社が金融商品取引法の規定に基づき目論見書に記載すべき事項を電磁的方法により提供している場合 (i)   if the stock company provides particulars to be stated in the prospectus pursuant to the provisions of the Financial Instruments and Exchange Act by Electronic or Magnetic Means; 二   当該株式会社が外国の法令に基づき目論見書その他これに相当する書面その他の資料を提供している場合 (ii)   if the stock company provides a prospectus or other equivalent document or other material pursuant to the laws and regulations of a foreign country.
