(設立時募集株式の申込み)
第五十九条   発起人は、第五十七条第一項の募集に応じて設立時募集株式の引受けの申込みをしようとする者に対し、次に掲げる事項を通知しなければならない。

Subscription for Shares Solicited at Incorporation
Article 59   The incorporator must notify the person who, in response to the solicitation under Article 57, paragraph (1), intends to apply to subscribe for the Shares Solicited at Incorporation of the following matters: 一   定款の認証の年月日及びその認証をした公証人の氏名 (i)   the date of the certification of the articles of incorporation and the name of the notary public who effected such certification; 二   第二十七条各号、第二十八条各号、第三十二条第一項各号及び前条第一項各号に掲げる事項 (ii)   the matters listed in each item of Article 27, each item of Article 28, each item of Article 32, paragraph (1) and each item of paragraph (1) of the preceding Article; 三   発起人が出資した財産の価額 (iii)   the value of the property contributed by the incorporator(s); 四   第六十三条第一項の規定による払込みの取扱いの場所 (iv)   the place designated for payment pursuant to the provisions of Article 63, paragraph (1); 五   前各号に掲げるもののほか、法務省令で定める事項 (v)   beyond what is set forth in the preceding items, any other matters provided by Ministry of Justice Order. 一   申込みをする者の氏名又は名称及び住所 (i)   the name and address of the person who intends to apply; and 二   引き受けようとする設立時募集株式の数 (ii)   the number of Shares Solicited at Incorporation that the person intends to subscribe for.

発起人のうち出資の履行をしていないものがある場合には、発起人は、第三十六条第一項に規定する期日後でなければ、前項の規定による通知をすることができない。

In cases where not all of the incorporators fulfill the Performance of Contributions, the incorporators may not give the notice pursuant to the provisions of the preceding paragraph until after the date provided for in Article 36, paragraph (1). 一   定款の認証の年月日及びその認証をした公証人の氏名 (i)   the date of the certification of the articles of incorporation and the name of the notary public who effected such certification; 二   第二十七条各号、第二十八条各号、第三十二条第一項各号及び前条第一項各号に掲げる事項 (ii)   the matters listed in each item of Article 27, each item of Article 28, each item of Article 32, paragraph (1) and each item of paragraph (1) of the preceding Article; 三   発起人が出資した財産の価額 (iii)   the value of the property contributed by the incorporator(s); 四   第六十三条第一項の規定による払込みの取扱いの場所 (iv)   the place designated for payment pursuant to the provisions of Article 63, paragraph (1); 五   前各号に掲げるもののほか、法務省令で定める事項 (v)   beyond what is set forth in the preceding items, any other matters provided by Ministry of Justice Order. 一   申込みをする者の氏名又は名称及び住所 (i)   the name and address of the person who intends to apply; and 二   引き受けようとする設立時募集株式の数 (ii)   the number of Shares Solicited at Incorporation that the person intends to subscribe for.

第五十七条第一項の募集に応じて設立時募集株式の引受けの申込みをする者は、次に掲げる事項を記載した書面を発起人に交付しなければならない。

A person who intends to apply to subscribe for Shares Solicited at Incorporation in response to a solicitation under Article 57, paragraph (1) must deliver a document giving the following information to the incorporators: 一   定款の認証の年月日及びその認証をした公証人の氏名 (i)   the date of the certification of the articles of incorporation and the name of the notary public who effected such certification; 二   第二十七条各号、第二十八条各号、第三十二条第一項各号及び前条第一項各号に掲げる事項 (ii)   the matters listed in each item of Article 27, each item of Article 28, each item of Article 32, paragraph (1) and each item of paragraph (1) of the preceding Article; 三   発起人が出資した財産の価額 (iii)   the value of the property contributed by the incorporator(s); 四   第六十三条第一項の規定による払込みの取扱いの場所 (iv)   the place designated for payment pursuant to the provisions of Article 63, paragraph (1); 五   前各号に掲げるもののほか、法務省令で定める事項 (v)   beyond what is set forth in the preceding items, any other matters provided by Ministry of Justice Order. 一   申込みをする者の氏名又は名称及び住所 (i)   the name and address of the person who intends to apply; and 二   引き受けようとする設立時募集株式の数 (ii)   the number of Shares Solicited at Incorporation that the person intends to subscribe for.

前項の申込みをする者は、同項の書面の交付に代えて、政令で定めるところにより、発起人の承諾を得て、同項の書面に記載すべき事項を電磁的方法により提供することができる。この場合において、当該申込みをした者は、同項の書面を交付したものとみなす。

A person who submits the application referred to in the preceding paragraph may, in lieu of delivering a document as referred to in that paragraph, provide the information that is required to be detailed in the document referred to in that paragraph by electronic or magnetic means, with the approval of the incorporators and pursuant to the provisions of Cabinet Order. In such cases, the person who submitted the application is deemed to have given a document under such paragraph. 一   定款の認証の年月日及びその認証をした公証人の氏名 (i)   the date of the certification of the articles of incorporation and the name of the notary public who effected such certification; 二   第二十七条各号、第二十八条各号、第三十二条第一項各号及び前条第一項各号に掲げる事項 (ii)   the matters listed in each item of Article 27, each item of Article 28, each item of Article 32, paragraph (1) and each item of paragraph (1) of the preceding Article; 三   発起人が出資した財産の価額 (iii)   the value of the property contributed by the incorporator(s); 四   第六十三条第一項の規定による払込みの取扱いの場所 (iv)   the place designated for payment pursuant to the provisions of Article 63, paragraph (1); 五   前各号に掲げるもののほか、法務省令で定める事項 (v)   beyond what is set forth in the preceding items, any other matters provided by Ministry of Justice Order. 一   申込みをする者の氏名又は名称及び住所 (i)   the name and address of the person who intends to apply; and 二   引き受けようとする設立時募集株式の数 (ii)   the number of Shares Solicited at Incorporation that the person intends to subscribe for.

発起人は、第一項各号に掲げる事項について変更があったときは、直ちに、その旨及び当該変更があった事項を第三項の申込みをした者（以下この款において「申込者」という。）に通知しなければならない。

If there are changes in the matters listed in any item of paragraph (1), the incorporators must immediately notify persons who submitted applications under paragraph (3) (hereinafter in this Subsection referred to as "Applicants") thereof and of the matters so changed. 一   定款の認証の年月日及びその認証をした公証人の氏名 (i)   the date of the certification of the articles of incorporation and the name of the notary public who effected such certification; 二   第二十七条各号、第二十八条各号、第三十二条第一項各号及び前条第一項各号に掲げる事項 (ii)   the matters listed in each item of Article 27, each item of Article 28, each item of Article 32, paragraph (1) and each item of paragraph (1) of the preceding Article; 三   発起人が出資した財産の価額 (iii)   the value of the property contributed by the incorporator(s); 四   第六十三条第一項の規定による払込みの取扱いの場所 (iv)   the place designated for payment pursuant to the provisions of Article 63, paragraph (1); 五   前各号に掲げるもののほか、法務省令で定める事項 (v)   beyond what is set forth in the preceding items, any other matters provided by Ministry of Justice Order. 一   申込みをする者の氏名又は名称及び住所 (i)   the name and address of the person who intends to apply; and 二   引き受けようとする設立時募集株式の数 (ii)   the number of Shares Solicited at Incorporation that the person intends to subscribe for.

発起人が申込者に対してする通知又は催告は、第三項第一号の住所（当該申込者が別に通知又は催告を受ける場所又は連絡先を発起人に通知した場合にあっては、その場所又は連絡先）にあてて発すれば足りる。

前項の通知又は催告は、その通知又は催告が通常到達すべきであった時に、到達したものとみなす。
