第百五十五条株式会社は、次に掲げる場合に限り、当該株式会社の株式を取得することができる。

Article 155 A Stock Company may acquire shares issued by such Stock Company only in the following cases: 一第百七条第二項第三号イの事由が生じた場合 (i) where the grounds under Article 107, paragraph (2), item (iii), (a) have arisen; 二第百三十八条第一号ハ又は第二号ハの請求があった場合 (ii) where a request has been made under Article 138, item (i), (c) or item (ii), (c); 三次条第一項の決議があった場合 (iii) where a resolution has been passed under paragraph (1) of the following Article; 四第百六十六条第一項の規定による請求があった場合 (iv) where a request has been made pursuant to the provisions of Article 166, paragraph (1); 五第百七十一条第一項の決議があった場合 (v) where a resolution has been passed under Article 171, paragraph (1); 六第百七十六条第一項の規定による請求をした場合 (vi) where the Stock Company has made a request under the provisions of Article 176, paragraph (1); 七第百九十二条第一項の規定による請求があった場合 (vii) where a request has been made pursuant to the provisions of Article 192, paragraph (1); 八第百九十七条第三項各号に掲げる事項を定めた場合 (viii) where the Stock Company has prescribed the matters listed in each item of Article 197, paragraph (3); 九第二百三十四条第四項各号（第二百三十五条第二項において準用する場合を含む。）に掲げる事項を定めた場合 (ix) where the Stock Company has prescribed the matters listed in each item of Article 234, paragraph (4) (including the cases where applied mutatis mutandis pursuant to Article 235, paragraph (2)); 十他の会社（外国会社を含む。）の事業の全部を譲り受ける場合において当該他の会社が有する当該株式会社の株式を取得する場合 (x) where the Stock Company accepts the transfer of the entire business of another Company (including Foreign Companies) in cases where such Stock Company accepts the transfer of own shares held by such other Company; 十一合併後消滅する会社から当該株式会社の株式を承継する場合 (xi) where the Stock Company succeeds to its own shares from a Company disappearing due to merger; 十二吸収分割をする会社から当該株式会社の株式を承継する場合 (xii) where the Stock Company succeeds to own shares held by a Company that is effecting an Absorption-type Company Split; or 十三前各号に掲げる場合のほか、法務省令で定める場合 (xiii) beyond the cases set forth in the preceding items, in any case prescribed by Ministry of Justice Order.
