(取得価格等の決定)
第百五十七条   株式会社は、前条第一項の規定による決定に従い株式を取得しようとするときは、その都度、次に掲げる事項を定めなければならない。

Determination of Acquisition Price
Article 157   Whenever a Stock Company intends to acquire its shares in accordance with a determination pursuant to the provisions of paragraph (1) of the preceding Article, it must prescribe the following matters: 一   取得する株式の数（種類株式発行会社にあっては、株式の種類及び数） (i)   the number of shares to be acquired (or, for a Company with Class Shares, the class of the shares and the number of the shares); 二   株式一株を取得するのと引換えに交付する金銭等の内容及び数若しくは額又はこれらの算定方法 (ii)   the description, and the number or amount, or the method for the calculation thereof, of the Monies, etc. that will be delivered in exchange for the acquisition of one share; 三   株式を取得するのと引換えに交付する金銭等の総額 (iii)   the total amount of the Monies, etc. that will be delivered in exchange for the acquisition of the shares; and 四   株式の譲渡しの申込みの期日 (iv)   the date on which the offer to transfer the shares will be made.

取締役会設置会社においては、前項各号に掲げる事項の決定は、取締役会の決議によらなければならない。

A Company with a Board of Directors must determine the matters listed in each item of the preceding paragraph by a resolution of the board of directors. 一   取得する株式の数（種類株式発行会社にあっては、株式の種類及び数） (i)   the number of shares to be acquired (or, for a Company with Class Shares, the class of the shares and the number of the shares); 二   株式一株を取得するのと引換えに交付する金銭等の内容及び数若しくは額又はこれらの算定方法 (ii)   the description, and the number or amount, or the method for the calculation thereof, of the Monies, etc. that will be delivered in exchange for the acquisition of one share; 三   株式を取得するのと引換えに交付する金銭等の総額 (iii)   the total amount of the Monies, etc. that will be delivered in exchange for the acquisition of the shares; and 四   株式の譲渡しの申込みの期日 (iv)   the date on which the offer to transfer the shares will be made.

第一項の株式の取得の条件は、同項の規定による決定ごとに、均等に定めなければならない。
