(新株予約権の行使)
第二百八十条   新株予約権の行使は、次に掲げる事項を明らかにしてしなければならない。

Exercising Share Option
Article 280   Share Options must be exercised by disclosing the following matters: 一   その行使に係る新株予約権の内容及び数 (i)   the features and number of the Share Options to be exercised; and 二   新株予約権を行使する日 (ii)   the day on which the Share Options will be exercised.

証券発行新株予約権を行使しようとするときは、当該証券発行新株予約権の新株予約権者は、当該証券発行新株予約権に係る新株予約権証券を株式会社に提出しなければならない。ただし、当該新株予約権証券が発行されていないときは、この限りでない。

If it is intended to exercise share options for which certificates are issued, the holders of such share options for which certificates are issued must submit the share option certificates representing the share options for which certificates are issued to the Stock Company; provided, however, that this does not apply if no such share option certificates have been issued. 一   その行使に係る新株予約権の内容及び数 (i)   the features and number of the Share Options to be exercised; and 二   新株予約権を行使する日 (ii)   the day on which the Share Options will be exercised.

証券発行新株予約権付社債に付された新株予約権を行使しようとする場合には、当該新株予約権の新株予約権者は、当該新株予約権を付した新株予約権付社債に係る新株予約権付社債券を株式会社に提示しなければならない。この場合において、当該株式会社は、当該新株予約権付社債券に当該証券発行新株予約権付社債に付された新株予約権が消滅した旨を記載しなければならない。

If it is intended to exercise Share Options attached to a Bond with Share Options for which a certificate is issued, the holders of such Share Options must submit to the Stock Company the certificate representing the Bond with Share Options for Bonds with Share Option to which such Share Options are attached. In such case, such Stock Company must specify in such certificate representing the Bond with Share Options to the effect that those Share Options attached to such a Bond with Share Options for which a certificate is issued have been extinguished. 一   その行使に係る新株予約権の内容及び数 (i)   the features and number of the Share Options to be exercised; and 二   新株予約権を行使する日 (ii)   the day on which the Share Options will be exercised.

前項の規定にかかわらず、証券発行新株予約権付社債に付された新株予約権を行使しようとする場合において、当該新株予約権の行使により当該証券発行新株予約権付社債についての社債が消滅するときは、当該新株予約権の新株予約権者は、当該新株予約権を付した新株予約権付社債に係る新株予約権付社債券を株式会社に提出しなければならない。

Notwithstanding the provisions of the preceding paragraph, in cases where it is intended to exercise Share Options attached to a Bond with Share Options for which a certificate is issued, if the Bonds with respect to such a Bond with Share Options for which a certificate is issued are extinguished by the exercise of such Share Options, the holders of such Share Options must submit the certificate representing the Bond with Share Options for the Bonds with Share Option to which such Share Options are attached to the Stock Company. 一   その行使に係る新株予約権の内容及び数 (i)   the features and number of the Share Options to be exercised; and 二   新株予約権を行使する日 (ii)   the day on which the Share Options will be exercised.

第三項の規定にかかわらず、証券発行新株予約権付社債についての社債の償還後に当該証券発行新株予約権付社債に付された新株予約権を行使しようとする場合には、当該新株予約権の新株予約権者は、当該新株予約権を付した新株予約権付社債に係る新株予約権付社債券を株式会社に提出しなければならない。

Notwithstanding the provisions of paragraph (3), in cases where it is intended to exercise the Share Options attached to a Bond with Share Options for which a certificate is issued after the redemption of the Bonds with respect to such a Bond with Share Options for which a certificate is issued, the holders of such Share Options must submit the certificate representing the Bond with Share Options for the Bonds with Share Option to which such Share Options are attached to the Stock Company. 一   その行使に係る新株予約権の内容及び数 (i)   the features and number of the Share Options to be exercised; and 二   新株予約権を行使する日 (ii)   the day on which the Share Options will be exercised.

株式会社は、自己新株予約権を行使することができない。

A Stock Company cannot exercise Own Share Options. 一   その行使に係る新株予約権の内容及び数 (i)   the features and number of the Share Options to be exercised; and 二   新株予約権を行使する日 (ii)   the day on which the Share Options will be exercised.
