Resignation of Company Auditors Article 480 In cases where Liquidating Stock Companies effect any of the following changes in the articles of incorporation, Company Auditors of such Liquidating Stock Companies resign when such change in the articles of incorporation takes effect:一 監査役を置く旨の定款の定めを廃止する定款の変更(i) any change in the articles of incorporation to abolish the provisions of the articles of incorporation to the effect that Company Auditors are established; or二 監査役の監査の範囲を会計に関するものに限定する旨の定款の定めを廃止する定款の変更(ii) any change in the articles of incorporation to abolish the provisions of the articles of incorporation to the effect that the scope of the audit by the Company Auditors is limited to accounting audit.
第三百三十六条の規定は、清算株式会社の監査役については、適用しない。
