(社員の持分会社の業務及び財産状況に関する調査)
第五百九十二条   業務を執行する社員を定款で定めた場合には、各社員は、持分会社の業務を執行する権利を有しないときであっても、その業務及び財産の状況を調査することができる。

Members' Investigations Regarding Status of Business and Assets of Membership Company
Article 592   In cases where members who execute the business are provided for in the articles of incorporation, each member may investigate the status of the business and assets of the Membership Company even if the member does not have the rights to execute the business of the same.

前項の規定は、定款で別段の定めをすることを妨げない。 ただし、定款によっても、社員が事業年度の終了時又は重要な事由があるときに同項の規定による調査をすることを制限する旨を定めることができない。

The provisions of the preceding paragraph do not preclude provisions to the contrary in the articles of incorporation; provided, however, that even the articles of incorporation may not provide to the effect of restricting the carrying out of investigations by members provided for in that paragraph at the end of the business year or if there are significant grounds to do so.
