(社債原簿の備置き及び閲覧等)
第六百八十四条   社債発行会社は、社債原簿をその本店（社債原簿管理人がある場合にあっては、その営業所）に備え置かなければならない。

Keeping and Making Available for Inspection of the Bond Register
Article 684   A Bond-Issuing Company must keep the bond register at its head office (or, if it has a Bond register administrator, at its business office). 一   社債原簿が書面をもって作成されているときは、当該書面の閲覧又は謄写の請求 (i)   if the bond register is prepared in writing, the request for the inspection or copying of such document; 二   社債原簿が電磁的記録をもって作成されているときは、当該電磁的記録に記録された事項を法務省令で定める方法により表示したものの閲覧又は謄写の請求 (ii)   if the bond register has been prepared as an electronic or magnetic record, a request to inspect or copy anything that is used in a manner prescribed by Ministry of Justice Order to display the information recorded in that electronic or magnetic record. 一   当該請求を行う者がその権利の確保又は行使に関する調査以外の目的で請求を行ったとき。 (i)   the person who made the request for other purposes than the research on securing or exercising the person's rights; 二   当該請求を行う者が社債原簿の閲覧又は謄写によって知り得た事実を利益を得て第三者に通報するため請求を行ったとき。 (ii)   the person who made the request in order to notify the fact learned by inspecting or copying the bond register to third parties for profit; or 三   当該請求を行う者が、過去二年以内において、社債原簿の閲覧又は謄写によって知り得た事実を利益を得て第三者に通報したことがあるものであるとき。 (iii)   the person who makes the request is a person who has notified the facts learned by inspecting or copying the bond register, to third parties for profit in the immediately preceding two years.

社債権者その他の法務省令で定める者は、社債発行会社の営業時間内は、いつでも、次に掲げる請求をすることができる。この場合においては、当該請求の理由を明らかにしてしなければならない。

The bondholders and other persons prescribed by Ministry of Justice Order may make the following requests at any time during the business hours of the Bond-Issuing Company. In such cases, the reasons for such request must be disclosed: 一   社債原簿が書面をもって作成されているときは、当該書面の閲覧又は謄写の請求 (i)   if the bond register is prepared in writing, the request for the inspection or copying of such document; 二   社債原簿が電磁的記録をもって作成されているときは、当該電磁的記録に記録された事項を法務省令で定める方法により表示したものの閲覧又は謄写の請求 (ii)   if the bond register has been prepared as an electronic or magnetic record, a request to inspect or copy anything that is used in a manner prescribed by Ministry of Justice Order to display the information recorded in that electronic or magnetic record. 一   当該請求を行う者がその権利の確保又は行使に関する調査以外の目的で請求を行ったとき。 (i)   the person who made the request for other purposes than the research on securing or exercising the person's rights; 二   当該請求を行う者が社債原簿の閲覧又は謄写によって知り得た事実を利益を得て第三者に通報するため請求を行ったとき。 (ii)   the person who made the request in order to notify the fact learned by inspecting or copying the bond register to third parties for profit; or 三   当該請求を行う者が、過去二年以内において、社債原簿の閲覧又は謄写によって知り得た事実を利益を得て第三者に通報したことがあるものであるとき。 (iii)   the person who makes the request is a person who has notified the facts learned by inspecting or copying the bond register, to third parties for profit in the immediately preceding two years.

社債発行会社は、前項の請求があったときは、次のいずれかに該当する場合を除き、これを拒むことができない。

If the request referred to in the preceding paragraph is made, the Bond-Issuing Company may not refuse such request unless: 一   社債原簿が書面をもって作成されているときは、当該書面の閲覧又は謄写の請求 (i)   if the bond register is prepared in writing, the request for the inspection or copying of such document; 二   社債原簿が電磁的記録をもって作成されているときは、当該電磁的記録に記録された事項を法務省令で定める方法により表示したものの閲覧又は謄写の請求 (ii)   if the bond register has been prepared as an electronic or magnetic record, a request to inspect or copy anything that is used in a manner prescribed by Ministry of Justice Order to display the information recorded in that electronic or magnetic record. 一   当該請求を行う者がその権利の確保又は行使に関する調査以外の目的で請求を行ったとき。 (i)   the person who made the request for other purposes than the research on securing or exercising the person's rights; 二   当該請求を行う者が社債原簿の閲覧又は謄写によって知り得た事実を利益を得て第三者に通報するため請求を行ったとき。 (ii)   the person who made the request in order to notify the fact learned by inspecting or copying the bond register to third parties for profit; or 三   当該請求を行う者が、過去二年以内において、社債原簿の閲覧又は謄写によって知り得た事実を利益を得て第三者に通報したことがあるものであるとき。 (iii)   the person who makes the request is a person who has notified the facts learned by inspecting or copying the bond register, to third parties for profit in the immediately preceding two years.

社債発行会社が株式会社である場合には、当該社債発行会社の親会社社員は、その権利を行使するため必要があるときは、裁判所の許可を得て、当該社債発行会社の社債原簿について第二項各号に掲げる請求をすることができる。この場合においては、当該請求の理由を明らかにしてしなければならない。

In cases where a Bond-Issuing Company is a Stock Company, if it is necessary for the purpose of exercising the rights of a Member of the Parent Company of such Bond-Issuing Company, the relevant Member of the Parent Company may, with the permission of the court, make the request in each item of paragraph (2) with respect to the bond register of the Bond-Issuing Company. In such cases, the reasons of such request must be disclosed. 一   社債原簿が書面をもって作成されているときは、当該書面の閲覧又は謄写の請求 (i)   if the bond register is prepared in writing, the request for the inspection or copying of such document; 二   社債原簿が電磁的記録をもって作成されているときは、当該電磁的記録に記録された事項を法務省令で定める方法により表示したものの閲覧又は謄写の請求 (ii)   if the bond register has been prepared as an electronic or magnetic record, a request to inspect or copy anything that is used in a manner prescribed by Ministry of Justice Order to display the information recorded in that electronic or magnetic record. 一   当該請求を行う者がその権利の確保又は行使に関する調査以外の目的で請求を行ったとき。 (i)   the person who made the request for other purposes than the research on securing or exercising the person's rights; 二   当該請求を行う者が社債原簿の閲覧又は謄写によって知り得た事実を利益を得て第三者に通報するため請求を行ったとき。 (ii)   the person who made the request in order to notify the fact learned by inspecting or copying the bond register to third parties for profit; or 三   当該請求を行う者が、過去二年以内において、社債原簿の閲覧又は謄写によって知り得た事実を利益を得て第三者に通報したことがあるものであるとき。 (iii)   the person who makes the request is a person who has notified the facts learned by inspecting or copying the bond register, to third parties for profit in the immediately preceding two years.

前項の親会社社員について第三項各号のいずれかに規定する事由があるときは、裁判所は、前項の許可をすることができない。
