(事業譲渡等に係る契約の承認に関する議案)
第九十二条   取締役が事業譲渡等に係る契約の承認に関する議案を提出する場合には、株主総会参考書類には、次に掲げる事項を記載しなければならない。

Proposals for Approval of an Agreement on Business Transfers
Article 92   If a director submits a proposal related to approval of an agreement in relation to Business Transfer, etc., the Reference Documents for the Shareholder Meeting must state the following: 一   当該事業譲渡等を行う理由 (i)   the reason for carrying out the Business Transfer, etc.; 二   当該事業譲渡等に係る契約の内容の概要 (ii)   a summary of the content of the agreement in relation to the Business Transfer, etc.; 三   当該契約に基づき当該株式会社が受け取る対価又は契約の相手方に交付する対価の算定の相当性に関する事項の概要 (iii)   a summary of particulars regarding appropriateness of the calculation of the price the stock company is to receive or the price for delivery to the other party to the agreement pursuant to the agreement.
