(申込みをしようとする者に対する通知を要しない場合)
第百六十四条   法第六百七十七条第四項に規定する法務省令で定める場合は、次に掲げる場合であって、会社が同条第一項の申込みをしようとする者に対して同項各号に掲げる事項を提供している場合とする。

Cases Where Persons Who Wish to Make an Offer Need Not Be Notified
Article 164   The cases prescribed by Order of the Ministry of Justice as established in Article 677, paragraph (4) of the Act are as follows, in which the Company provides the particulars listed in each item of the same paragraph to persons who wish to make the offer under paragraph (1) of the same Article: 一   当該会社が金融商品取引法の規定に基づき目論見書に記載すべき事項を電磁的方法により提供している場合 (i)   if the Company provides the particulars stated in the prospectus pursuant to the provisions of the Financial Instruments and Exchange Act by Electronic or Magnetic Means; 二   当該会社が外国の法令に基づき目論見書その他これに相当する書面その他の資料を提供している場合 (ii)   if the Company provides a prospectus or other equivalent document or other material pursuant to the laws and regulations of a foreign country; 三   長期信用銀行法（昭和二十七年法律第百八十七号）第十一条第四項の規定に基づく公告により同項各号の事項を提供している場合 (iii)   if, pursuant to a public notice based on the provisions of Article 11, paragraph (4) of the Long Term Credit Bank Act (Act No. 187 of 1952), the particulars under each item of the same paragraph are provided; 四   株式会社商工組合中央金庫法（平成十九年法律第七十四号）第三十六条第三項の規定に基づく公告により同項各号の事項を提供している場合 (iv)   if, pursuant to a public notice based on the provisions of Article 36, paragraph (3) of the Shoko Chukin Bank Limited Act (Act No. 74 of 2007), the particulars under each item of the same paragraph are provided.
